TERMS AND CONDITIONS OF USE
UBeMLS
Real Estate Collaboration Technology Platform
1. Acceptance
Access to, registration with, and use of the UBeMLS technology platform (hereinafter, the “Platform”) implies the user’s express, full, and unconditional acceptance of these Terms and Conditions.
If the user does not agree, they must refrain from using the Platform.
2. Nature of the Platform
UBeMLS is a SaaS technology platform that:

Facilitates real estate inventory management.

Enables collaboration among brokers and advisors.
-
Supports co-brokering arrangements.
-
Provides cross-visibility and traceability tools.
UBeMLS:
-
Is not a real estate agency.
-
Does not broker transactions.
-
Does not represent buyers or sellers.
-
Does not participate in negotiations.
-
Does not guarantee transaction closings.
The Platform is solely a technological collaboration environment.
3. Registration and Account
The user:

Declares that the information provided is truthful.
-
Is responsible for the use of their account.
-
Is responsible for maintaining the confidentiality of their credentials.
-
Is liable for any activity carried out through their profile.
UBeMLS may suspend accounts in the event of:
-
False information.
-
Fraudulent conduct.
-
Misuse of the system.
-
Breach of these Terms.
4. Property Listings
The user declares that:

They have authorization to market the properties they publish.
-
The information uploaded is truthful and up to date.
-
They have the right to offer the commission structure indicated.
UBeMLS does not legally verify ownership, exclusivity, or authorization of the listed properties.
Responsibility for the accuracy of the inventory lies exclusively with the user who registers it.
5. Collaboration and Co-Brokering
The Platform allows users to:

View inventory from other brokers.
-
Share properties.
-
Establish collaboration agreements.
UBeMLS:
-
Does not intervene in commission negotiations.
-
Does not guarantee payment between brokers.
-
Does not act as an arbitrator in commercial disputes.
-
Does not hold funds.
-
Does not manage payments between the parties.
Any collaboration agreement is the sole responsibility of the users involved.
6. Responsibility for Shared Information
When a user shares information:

Through links,
-
Downloads,
-
Exports,
-
External communication,
responsibility for any subsequent use lies exclusively with the person who uses it outside the Platform.
UBeMLS shall not be liable for:
-
Misuse by third parties.
-
Unauthorized distribution.
-
Commercial losses.
-
Non-compliance between brokers.
7. Limitation of Liability
UBeMLS shall not be liable for:
-
Failed real estate transactions.
-
Incorrect information provided by users.
-
Breach of commission agreements.
-
Indirect damages or loss of profits.
-
Loss of business opportunities.
UBeMLS’s total liability, in any case, shall be limited to the amount actually paid by the user during the three months prior to the event giving rise to the claim.
8. Intellectual Property
The Platform, its code, structure, design, databases, functionalities, and technological content are the exclusive property of UBeMLS or its licensors.
The user is granted a non-exclusive, non-transferable, and revocable right of use.
The following are prohibited:

Copying the code.

Reproducing the system structure.
-
Developing derivative platforms.
-
Extracting databases on a mass scale.
9. Suspension and Termination
UBeMLS may suspend or terminate accounts in the event of:

Contractual breach.
-
Non-payment.
-
Fraudulent conduct.
-
Use contrary to law.
-
Harm to the stability of the Platform.
Termination does not release the user from pending obligations.
10. Retention and Deletion of Information
Information will be retained while:

The user maintains an active profile.
-
A valid contractual relationship exists.
In the event of termination:
-
UBeMLS may deactivate access.
-
It may delete operational information.
-
It may retain historical records when there is a legal or contractual obligation to do so.
11. Amendments
UBeMLS may modify these Terms at any time.
Such modifications shall take effect upon publication within the Platform.
Continued use implies acceptance of the changes.
12. Governing Law and Jurisdiction
These Terms shall be governed by the laws of the United Mexican States.
The parties submit to the jurisdiction of the competent courts of Mexico City, expressly waiving any other jurisdiction that may otherwise apply to them.
